Website and Restricted Portal Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Forest Hills Ventures public website and any restricted, invitation-only portal or digital service made available by Forest Hills Ventures (“FHV”, “we”, “us” or “our”).

By using the public website, accepting an invitation, signing in to a restricted service or continuing to use an authorised account, you agree to these Terms. If you use a restricted service for an organisation, you confirm that you are authorised to act for that organisation.

A separate written customer agreement, statement of work, order, quotation, confidentiality agreement or data-processing agreement may also apply. If there is a conflict, the specifically agreed written document will control for the relevant service.

1. Public website

The public website provides general information about Forest Hills Ventures and allows legitimate business enquiries.

You may not:

• attempt unauthorised access;
• probe, scan or test security without written authorisation;
• introduce malware or harmful code;
• overload, disrupt or interfere with normal operation;
• scrape or copy content at scale;
• impersonate another person or organisation; or
• use the website for unlawful, misleading or abusive activity.

Information on the public website is general information and does not create a professional, fiduciary, supply or advisory relationship.

2. Restricted and invitation-only access

Forest Hills Ventures portals are private systems. Public self-registration is not available.

Access may be granted only to:

• authorised Forest Hills Ventures personnel;
• authorised personnel of affiliated offices;
• approved contractors; and
• selected customer users approved by Forest Hills Ventures or the relevant customer organisation.

Access may be limited by organisation, domain, role, service, feature, workspace, customer group or specific permission.

An invitation or account:

• is personal to the authorised user;
• may not be transferred, shared, sold or made available to another person;
• does not guarantee access to every service;
• may be subject to identity verification and multi-factor authentication; and
• may be suspended, restricted or revoked for security, legal, contractual, employment or operational reasons.

3. Account security

Authorised users must:

• provide accurate information;
• keep passwords, authentication codes, recovery information and devices secure;
• use only their own account;
• not bypass or weaken security controls;
• immediately report suspected compromise or unauthorised activity; and
• sign out or otherwise secure access on shared or unattended devices.

The relevant customer organisation must promptly notify Forest Hills Ventures when a user leaves, changes role or no longer requires access.

4. Permitted portal use

Restricted services may be used only:

• for the authorised business purpose;
• within the user’s assigned permissions;
• for the organisation or customer workspace to which access was granted;
• in accordance with written instructions and applicable agreements; and
• in compliance with law, confidentiality obligations and intellectual-property rights.

Users must not:

• access another customer’s workspace or information;
• share restricted links, downloads or outputs with unauthorised persons;
• upload unlawful, infringing, deceptive, malicious or unauthorised content;
• reverse engineer, copy or commercially exploit the platform except where law expressly permits;
• automate access without written approval;
• remove ownership, confidentiality or security notices;
• use outputs to misrepresent products or services; or
• use the platform to develop or benchmark a competing service without written permission.

5. Customer content and authority to upload

“Customer Content” includes images, videos, product data, artwork, logos, files, instructions, comments, approvals, quotations and other material submitted to or created within a restricted service.

As between the parties, the customer or its licensors retain ownership of Customer Content. The customer grants Forest Hills Ventures a limited right to host, copy, transmit, process, edit and display Customer Content only as necessary to provide, secure, support and improve the contracted service.

The customer and each authorised user confirm that they have all rights and permissions needed to submit and process Customer Content.

Forest Hills Ventures does not acquire ownership of a customer’s underlying product designs, trademarks, photographs or confidential information merely because they are processed through the service.

6. Forest Hills Ventures materials

The website, portal software, interface, workflows, documentation, branding, templates, source code and other materials supplied by Forest Hills Ventures remain owned by Forest Hills Ventures or its licensors.

No ownership is transferred. Any licence is limited, revocable, non-exclusive and only for authorised use during the applicable engagement.

7. Confidentiality

Restricted portals may contain confidential information belonging to Forest Hills Ventures, customers or third parties.

Users must:

• use confidential information only for the authorised purpose;
• limit access to persons who are authorised and bound by appropriate obligations;
• apply reasonable safeguards;
• not publish or externally distribute restricted content without approval; and
• promptly report any actual or suspected unauthorised disclosure.

Confidentiality obligations in a separate agreement continue to apply.

8. Creative and product-media services

Where authorised services support catalogues, artwork, flyers, banners, social posts, videos, advertising assets or product images:

• the customer remains responsible for final review and approval;
• colours, dimensions, text, product details, trademarks and regulatory claims must be checked before publication;
• previews may render differently across screens, printers, platforms or file formats;
• the customer must ensure it has rights to all images, fonts, logos, music, video and other materials supplied; and
• Forest Hills Ventures is not responsible for unauthorised publication or use after files have been delivered or approved.

9. Quotations and commercial information

Where an authorised service provides quotations, estimates, calculations or commercial information:

• outputs are preliminary unless expressly confirmed in a final written quotation or contract;
• pricing may change due to metal rates, exchange rates, labour, specifications, quantity, availability, taxes, duties, freight, insurance or other variables;
• displayed availability is not a reservation or guarantee;
• clerical, system or data errors may be corrected;
• quotations are confidential and may be limited to the authorised customer organisation; and
• no binding supply obligation arises until accepted through the required written process.

10. AI-assisted image processing

AI-assisted image outputs may contain inaccuracies, omissions or unintended changes.

Before relying on an output, an authorised person must verify, as applicable:

• product geometry and proportion;
• stone count, size, shape, position and colour;
• metal colour and finish;
• engravings, hallmarks and logos;
• product orientation;
• shadows, reflections and backgrounds; and
• consistency with the physical product and approved specifications.

AI-assisted outputs are presentation or workflow aids. They are not gemological reports, valuations, certificates, manufacturing specifications or proof of product authenticity.

The customer must not use an output to deceive consumers or materially misrepresent a product.

11. Service availability and changes

We aim to operate services reliably but do not guarantee uninterrupted or error-free availability.

We may:

• perform maintenance;
• apply security updates;
• change or remove a feature;
• impose reasonable usage or storage limits;
• suspend access to protect systems or users; or
• discontinue a service in accordance with an applicable agreement.

Where practical, planned changes affecting contracted services will be communicated through the agreed channel.

12. Third-party services

Some functionality may depend on third-party infrastructure, hosting, email, communication, storage, authentication or AI-processing services.

Third-party availability and conduct may be outside our control. Separate third-party terms may apply where clearly presented.

13. Records, monitoring and audit

For security, support, compliance and administration, Forest Hills Ventures may maintain logs of authentication, access, changes, downloads, uploads, approvals and administrative activity.

Users must not interfere with, falsify or attempt to disable audit records.

14. Suspension and termination

We may suspend or terminate access where reasonably necessary because of:

• suspected account compromise;
• unauthorised or unlawful use;
• breach of these Terms or another agreement;
• non-payment or expiry of an engagement;
• a request from the responsible customer organisation;
• a change in employment or authorisation; or
• risk to the platform, another customer or Forest Hills Ventures.

On termination, users must stop accessing the service and return or delete confidential material where required by the applicable agreement.

15. Disclaimers

To the maximum extent permitted by law:

• the public website is provided for general information;
• restricted services are provided subject to the applicable written engagement;
• previews, automated outputs and system-generated information must be reviewed by authorised users; and
• services are provided without warranties not expressly included in a written agreement.

Nothing in these Terms excludes rights or obligations that cannot legally be excluded.

16. Limitation of liability

To the maximum extent permitted by applicable law, Forest Hills Ventures will not be liable under these Terms for indirect, incidental, special, exemplary or consequential loss, loss of profit, loss of opportunity, loss of goodwill or loss arising from unauthorised use of an account.

Any contractual liability relating to a paid service is governed by the applicable written customer agreement. Nothing in these Terms limits liability that cannot lawfully be limited.

17. Indemnity

To the extent permitted by law, an organisation using a restricted service is responsible for claims arising from Customer Content, instructions or use that violates law, third-party rights or these Terms, except to the extent caused by Forest Hills Ventures’ breach of an applicable written agreement.

18. Privacy

Our processing of personal data is described in the Forest Hills Ventures Privacy Policy and, where applicable, the relevant customer agreement or data-processing terms.

19. Changes to these Terms

We may update these Terms to reflect legal, security, operational or service changes. The updated version and effective date will be published on the website. Material changes affecting restricted services may also be communicated to authorised customers or users.

20. Governing law and disputes

These Terms are governed by the laws of India.

Before starting formal proceedings, the parties should attempt in good faith to resolve a dispute through the normal business contacts. Subject to any different dispute clause in a written customer agreement, competent courts associated with Forest Hills Ventures’ registered or principal place of business will have jurisdiction.
